These Terms of Service (“Terms”) govern the provision of bookkeeping and financial support services by Finmate Consulting Inc. (“Finmate,” “we,” “our,” or “us”) to its clients (“Client” or “you”). By engaging Finmate’s services, you acknowledge and agree to be bound by these Terms.

1. Services Provided

Finmate provides professional bookkeeping and financial support services, which include, but are not limited to:

  • General bookkeeping and transaction recording.
  • Account and bank reconciliations.
  • Financial reporting and analysis.
  • Accounts payable and receivable support.
  • Coordination with accounting software systems.

Disclaimer: Finmate is not a public accounting firm. We do not provide audit, assurance, tax filing, or legal services.

2. Fees, Payment, and Taxes

Fees: Service fees are agreed upon in advance and shall be communicated to the Client in writing via a service agreement or engagement letter.

Payment: The Client is responsible for the timely payment of all invoices in accordance with the agreed-upon payment terms.

Taxes: The Client is solely responsible for all applicable taxes, including but not limited to GST/HST, as required by Canadian law.

Non-Payment: Late or unpaid invoices may, at Finmate’s discretion, result in the immediate suspension or termination of services until all outstanding amounts are settled.

3. Client Responsibilities

The Client must actively cooperate to ensure the effective delivery of services. The Client agrees to:

  • Provide accurate, complete, and timely financial information and supporting documentation.
  • Maintain and securely retain all original financial records and source documents.
  • Promptly review and approve reports and deliverables provided by Finmate.
    Limitation: Finmate is not responsible for errors, delays, or penalties resulting from incomplete, inaccurate, or untimely information provided by the Client.

4. Ownership and Confidentiality

Ownership: All original financial records, data, and business information provided by the Client remain the exclusive property of the Client.

Confidentiality: Finmate agrees to maintain the strict confidentiality of all client information and shall use it solely for the purpose of delivering the agreed-upon services, subject only to legal and regulatory obligations.

5. Personal Information and Privacy

Finmate collects and processes personal information in accordance with applicable Canadian privacy legislation, including the Personal Information Protection and Electronic Documents Act (PIPEDA). The use and safeguarding of personal information are governed by Finmate’s Privacy Policy, which is available on our website.

6. Contractors and Third-Party Disclosure

Finmate may engage qualified independent contractors or third-party service providers (e.g., software vendors) to assist in performing services. All such parties are subject to written confidentiality and data protection obligations that meet the standards set forth in these Terms and our Privacy Policy.

7. Communications and Security

Electronic Consent: The Client consents to receive all service-related communications electronically, including email and digital documents.

Client Security: The Client is responsible for maintaining the security of their own systems, devices, and all access credentials (passwords) used to interact with Finmate or third-party accounting software.

8. Disclaimers

Services are provided on an “as-is” basis. Finmate makes no representations or guarantees regarding specific financial results, tax outcomes, or overall business performance.

9. Limitation of Liability

To the maximum extent permitted by the laws of Ontario and Canada:

  • Finmate shall not be liable for any indirect, incidental, special, or consequential damages.
  • Finmate’s total aggregate liability for any claim arising out of or related to these Terms shall not exceed the fees paid by the Client for the services in the three (3) months immediately preceding the date the claim arose.

10. Term and Termination

Termination: Either party may terminate the service engagement by providing the other party with written notice.

Obligations upon Termination: All outstanding fees remain immediately due and payable upon termination.

Suspension/Immediate Termination: Finmate may suspend or terminate services immediately for non-payment or a material breach of these Terms by the Client.

11. Governing Law

These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada. The parties agree to submit to the exclusive jurisdiction of the courts of Ontario.
